Supplier Agreement
Terms and Conditions for Suppliers

Important: By registering as a Supplier on SupplierHub, you agree to be bound by this Agreement. Please read carefully. If you do not agree, do not register or use our services.
1. Parties
This Supplier Agreement ("Agreement") is entered into between:
K2KEY DIGITAL LTD ("Platform," "we," "us")

And the individual or entity registering as a Supplier ("Supplier," "you," "your").
2. Platform Services
We provide a B2B marketplace platform that enables Suppliers to:
- List Digital Goods for sale to verified Buyers
- Manage inventory and pricing
- Process transactions securely
- Access sales analytics and reporting
- Receive payments via multiple methods
We do not purchase, sell, or take title to any Digital Goods listed on the Platform.
3. Supplier Eligibility and Onboarding
3.1 Requirements
To become a Supplier, you must:
- Be a legally registered business entity
- Have valid business registration in your jurisdiction
- Be authorized to sell the Digital Goods you list
- Pass our KYC/AML verification process
- Maintain a positive reputation score
3.2 Verification Process
You must provide:
- Certificate of Incorporation or Business Registration
- Director/Owner government-issued photo ID
- Proof of address (utility bill or bank statement, dated within 3 months)
- Proof of authorization to sell (distributor agreement, publisher authorization, or wholesale invoices)
- Valid business bank account details
Verification typically takes 24-48 hours. We reserve the right to request additional documentation.
4. Product Listing Requirements
4.1 Authorized Products Only
Zero Tolerance: Listing fraudulent, stolen, or unauthorized keys will result in immediate permanent ban, forfeiture of all funds, and legal action.
4.2 Product Standards
All listings must include:
- Accurate product name and description
- Correct platform (Steam, Xbox, PlayStation, etc.)
- Region restrictions (Global, EU, US, etc.)
- Accurate pricing
- Realistic inventory quantities
4.3 Prohibited Products
You may NOT list:
- Keys obtained through fraudulent means (stolen credit cards, chargebacks)
- Beta keys, test codes, or developer-only products
- Keys from unauthorized sources
- Products that violate intellectual property rights
- Gift cards from questionable sources
- Any product that is illegal in the UK or your jurisdiction
5. Pricing and Commission
5.1 Commission Structure

5.2 Pricing Rules
- You may adjust prices at any time
- Prices must be competitive and market-appropriate
- We reserve the right to delist significantly overpriced items
- All prices are in EUR unless otherwise specified
6. Order Fulfillment
6.1 Delivery Timeframes
- Standard: Within 24 hours of order
- Express: Within 2 hours (if advertised as such)
- API Integration: Instant delivery
6.2 Delivery Method
Products must be delivered through the Platform's secure system. Do NOT:
- Send keys directly to buyer email outside the Platform
- Request buyers to complete transactions off-platform
- Share personal contact information with buyers
6.3 Failed Deliveries
If you cannot fulfill an order:
- Immediately mark the order as "Out of Stock"
- The buyer will be automatically refunded
- Repeated failures may result in account suspension
7. Payment and Settlement
7.1 Settlement Schedule

7.2 Withdrawals
- Minimum withdrawal: €50.00
- Available methods: SEPA Bank Transfer, PayPal, Cryptocurrency (BTC, USDT)
- Withdrawal requests processed within 1-3 business days
- All withdrawals subject to final fraud review
7.3 Chargebacks and Refunds
You are responsible for:
- All refunds due to invalid or used keys
- All chargeback amounts plus €25 processing fee per incident
- Refunds will be deducted from your pending balance
- Negative balances must be settled within 7 days
8. Quality Standards and Penalties
8.1 Invalid Key Rate
Your invalid key rate must remain below 1%. Consequences:
- 1-2%: Warning, account review
- 2-5%: Temporary suspension, mandatory review
- 5%+: Permanent termination
8.2 Customer Complaints
Excessive complaints will result in:
- Account restrictions
- Required additional verification
- Suspension or termination
9. Suspension and Termination
9.1 Immediate Termination
We may terminate your account immediately for:
- Selling fraudulent or stolen keys
- Money laundering or suspicious activity
- Multiple violations of this Agreement
- Providing false information during verification
- Attempting to circumvent platform fees
9.2 Effects of Termination
Upon termination:
- All listings are removed immediately
- Pending settlements are held for 90 days (chargeback protection)
- Any negative balance must be paid immediately
- You remain liable for all past transactions
10. Confidentiality
You agree to maintain the confidentiality of:
- Platform trade secrets and business methods
- Buyer information (names, contact details, purchase history)
- Pricing data and market insights provided by the Platform
11. Liability and Indemnification
11.1 Supplier Liability
You are solely responsible for:
- The authenticity and validity of all Digital Goods you sell
- All customer service issues related to your products
- Compliance with all applicable laws and regulations
- Payment of all taxes on your earnings
11.2 Indemnification
You agree to indemnify and hold harmless K2KEY DIGITAL LTD against any claims, losses, or damages arising from:
- Your breach of this Agreement
- Sale of fraudulent or unauthorized products
- Violation of intellectual property rights
- Your negligence or misconduct
12. General Terms
12.1 Governing Law
This Agreement is governed by the laws of England and Wales. Any disputes shall be resolved in the courts of London, England.
12.2 Amendments
We may update this Agreement at any time. Continued use of the Platform constitutes acceptance of the updated terms.
