1. Introduction

Welcome to SupplierHub, operated by K2KEY DIGITAL LTD ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our B2B digital goods marketplace platform (the "Platform"), including any content, functionality, and services offered on or through the Platform.

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to all these Terms, you must not access or use the Platform.

2. Definitions

Throughout these Terms, the following definitions apply:

• "Buyer" means a user who purchases digital goods through the Platform.
• "Seller" or "Supplier" means a user who lists and sells digital goods through the Platform.
• "Digital Goods" means game keys, gift cards, in-game currency, DLC, software licenses, and other digital products.
• "Transaction" means the purchase and sale of Digital Goods between Buyers and Sellers through the Platform.
• "Service Fee" means the commission charged by the Platform on completed transactions.

3. Platform Role

3.1 Marketplace Function

SupplierHub operates as a B2B marketplace platform that facilitates connections between Buyers and Sellers of Digital Goods. We provide the technology infrastructure, payment processing, and trust services to enable these transactions.

3.2 Not a Party to Transactions

3.3 No Warranty for Products

We do not guarantee the quality, safety, legality, or authenticity of any Digital Goods listed on the Platform. Buyers must conduct their own due diligence before purchasing.

4. Account Registration

4.1 Eligibility

To use the Platform, you must:

• Be at least 18 years old
• Be a legally registered business entity
• Have the authority to bind your business to these Terms
• Complete our KYC/AML verification process
• Not be prohibited from using the Platform under applicable laws

4.2 KYC Requirements

All Sellers must provide:

• Valid business registration documents
• Director/owner passport or government-issued ID
• Proof of address (utility bill or bank statement)
• Proof of authorization to sell the listed Digital Goods

4.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

5. Fees and Payments

5.1 Service Fees

5.2 Settlement Terms

• Standard settlement: T+14 days from transaction completion
• VIP Sellers (high volume/trust score): T+7 days
• All settlements subject to successful delivery and no disputes

5.3 Withdrawals

• Minimum withdrawal amount: €50.00
• Available methods: Bank Transfer, PayPal, Cryptocurrency
• Withdrawal fees may apply depending on method chosen
• Processing time: 1-3 business days after approval

5.4 Currency

All transactions are processed in Euros (EUR) unless otherwise specified. Currency conversion fees may apply for non-EUR transactions.

6. User Conduct

6.1 Seller Obligations

Sellers agree to:

• List only authentic, legally obtained Digital Goods
• Deliver products within the specified timeframe (typically within 24 hours)
• Provide accurate product descriptions and region information
• Maintain adequate inventory for listed products
• Respond to buyer inquiries within 24 hours
• Comply with all applicable laws and regulations

6.2 Buyer Obligations

Buyers agree to:

• Use the Platform for legitimate business purposes only
• Verify product compatibility before purchase
• Not engage in fraudulent chargebacks
• Comply with platform purchasing limits

7. Prohibited Items and Activities

7.1 Prohibited Products

The following may not be sold on the Platform:

• Stolen, fraudulent, or illegally obtained keys/codes
• Keys obtained through credit card fraud or chargebacks
• Geographic region-locked keys sold outside authorized regions
• Beta keys, test codes, or non-retail products
• Products that violate intellectual property rights
• Grey market products without proper authorization

7.2 Prohibited Activities

• Money laundering or terrorist financing
• Using the Platform for illegal gambling
• Circumventing platform fees
• Creating multiple accounts to evade restrictions
• Manipulating ratings or reviews
• Distributing malware or harmful content

8. Account Actions

8.1 Suspension and Termination

We reserve the right to suspend or terminate your account immediately if you:

• Violate these Terms
• Sell fraudulent or unauthorized products
• Engage in suspicious or illegal activity
• Fail to respond to verification requests
• Receive multiple complaints from buyers
• Attempt to circumvent platform security

8.2 Penalties for Fraud

If you are found to have sold fraudulent products:

• Immediate permanent account termination
• Forfeiture of all pending balances
• Financial liability for all refunds and chargebacks
• Legal action to recover damages
• Reporting to relevant authorities and industry databases

9. Limitation of Liability

9.1 Platform Liability

To the maximum extent permitted by law, K2KEY DIGITAL LTD shall not be liable for:

• Any losses arising from transactions between Buyers and Sellers
• Quality, authenticity, or legality of Digital Goods
• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, or business opportunities
• Technical failures or data breaches beyond our reasonable control

9.2 Maximum Liability

Our total liability to you for any claim arising from or relating to these Terms or the Platform shall not exceed the total amount of fees paid by you to us in the 12 months preceding the claim.

10. Dispute Resolution

10.1 Platform Mediation

In the event of a dispute between Buyers and Sellers:

• Parties should first attempt to resolve the dispute directly
• If unresolved, either party may escalate to Platform support
• We will review evidence from both parties
• Our decision is final and binding

10.2 Chargebacks

Sellers are responsible for all chargebacks and payment disputes. The Platform reserves the right to deduct chargeback amounts plus associated fees from Seller balances.

10.3 Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Termination

11.1 By You

You may terminate your account at any time by contacting support. Any pending transactions must be completed before account closure.

11.2 By Us

We may terminate or suspend your account immediately for any violation of these Terms or for any reason at our sole discretion with 30 days' notice.

11.3 Effect of Termination

Upon termination:

• Your right to use the Platform ceases immediately
• Pending withdrawals will be processed subject to verification
• We may retain certain data as required by law
• Sections regarding liability, indemnification, and dispute resolution survive termination

12. General Provisions

12.1 Amendments

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Continued use of the Platform constitutes acceptance of the revised Terms.

12.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force.

12.3 Entire Agreement

These Terms constitute the entire agreement between you and K2KEY DIGITAL LTD regarding the Platform.
